OFFICIAL RULES - MY LIFE ON TOP STORY CONTEST

NO PURCHASE NECESSARY

THIS CONTEST IS OPEN ONLY TO RESIDENTS OF THE UNITED STATES AND CANADA (EXCEPT THE PROVINCE OF QUEBEC) AGED 18 OR OLDER. VOID IN QUEBEC AND WHERE OTHERWISE PROHIBITED, TAXED OR OTHERWISE RESTRICTED OR CONDITIONED BY LAW


1. Eligibility

This contest is open to legal residents of the United States and Canada (other than residents of the province of Quebec) who are 18 years of age or older. This contest is not open to employees, or their immediate families or persons residing in the same household, of General Media Communications, Inc. ("GMCI"), FriendFinder Networks Inc., or their affiliates and subsidiaries, or their advertising or promotional agencies. Not open to professional journalists and<b> writers. </font></b>Void in Quebec or where otherwise restricted or prohibited by law. All state, federal and provincial laws and regulations apply. This contest shall be construed and evaluated, and is governed by, the laws of the United States of America, regardless of the place of residence of the Entrant.

2. The Submission

In order to enter this contest you must submit an entry (the "Submission" or "Submissions") consisting of a fictitious description of the ultimate sexual "Life on Top" moment to be entitled, "My Life on Top." All submissions must not exceed 500 words in length, be written in the English language and be original and entirely fictitious, including the names of any persons in the story including the first-person narrator if the story is written in the first person. Multiple Submissions from the same person or household are permitted; however, each Submission must be significantly different and only one prize will be awarded to any Entrant or member of an Entrant's household.

3. To Enter

To enter, go to www.FriendFinder-x.com (the "Website") and follow the directions to post your submission" When you submit your Submission, you become an "Entrant." Only Submissions submitted between 11:59 AM PDT, September 14, 2009, and 11:59 AM PDT, September 28, 2009, are eligible to win or be considered. Submissions must be submitted online using the Official Entry Form.

4. Selection of Winners

From all eligible Submissions, the judges shall select twenty-five (25) Prize Winners and one Grand Prize Winner. The judges will consist of a panel of designated members of the editorial staff of Penthouse Magazine and its affiliated publications with relevant experience in writing, publishing and editing, as well as Heather Vandeven, 2007 Penthouse Pet of the Year (or such other celebrity judge as Sponsor may determine in its sole discretion.) Submissions will be judged on the basis of originality, aptness of expression, level of excitement and compatibility with the editorial standards of the erotic letters and fiction of Penthouse Magazine with equal weight given to each criterion. The decision of the judges is in their sole discretion, and is final, conclusive and binding on all Entrants. Subject to the last sentence of this Paragraph 4, and provided that the chosen Entrants have complied with all the rules of this Contest and are otherwise properly qualified, the judges shall announce the Winners on the Website on or before 12:00 noon PDT on Monday, October 5th , 2009. Notwithstanding the foregoing or anything else in these rules, the judges in their sole discretion shall have the right to select less than twenty-six (26) winners, including the right to select no Winners if an insufficient number of entries is received.

5. Prizes

The prizes are:

One (1) Grand Prize of a trip to New York City and an evening at the Penthouse Executive Club, as further detailed below, approximate retail value $1,100.
Twenty-five (25) Winners Prizes consisting of a hardbound copy of the book "Life on Top" by Clara Darling, published by St. Martin's Press, approximate retail value $14.99.

6. Grand Prize


The Grand Prize consists of:
--Round-trip airfare (coach) for one to New York City from the gateway airport closest to the winner's residence.
--One night's stay (double occupancy) at a hotel in New York City.
--Admission to the Penthouse Executive Club for one evening.
--A US$250 gift certificate toward dinner for two at Robert's, the steakhouse restaurant at the Penthouse Executive Club.
Important Qualifications and Limitations:
--General: Prizes cannot be exchanged and are not redeemable for cash. Winners are responsible for all taxes on prizes. With the exception of the dinner at Robert's, all elements of the Grand Prize are for one person only. Only items listed will be provided; all other expenses, including, without limitation, meals, local transportation, all incidentals, and any expenses of a person or persons other than the Grand Prize Winner, are not provided and are the responsibility of the Grand Prize Winner. Rules and regulations of all locations and venues apply. The date of the trip will be selected by mutual agreement between the Grand Prize Winner and GMCI and must be made within one year of the announcement of the Grand Prize Winner. The trip cannot be made during the following holiday periods: from the day before Thanksgiving through New Year's Day, or the Martin Luther King, Jr., Presidents' Day, Memorial Day, July 4, Labor Day or Columbus Day weekends. Transportation: GMCI shall book the flight on the airline of its choosing. If Grand Prize Winner lives within the New York Metropolitan area alternative transportation will be provided in GMCI's discretion. Hotel: The hotel provided shall be selected by GMCI in its sole discretion. Penthouse Club: Admission only is provided: All drinks and other expenses are responsibility of Grand Prize Winner. Robert's Steakhouse. The $250 gift certificate for dinner includes food and drink, but any expenditures over that sum are the Grand Prize Winner's responsibility.

7. Entrant's Representations and Warranties


Every Entrant represents and warrants, knowing that GMCI is relying thereon, as to each and every Submission that: (a) Entrant is 18 years of age or over; (b) each Submission is Entrant's own original work, is not in the public domain and does not infringe the rights of any third party; (c) each Submission has never before been published; (d) there is no other person entitled to credit or compensation in connection with the Submission or for the rights granted below to GMCI, and (e) that the events depicted in the Submission are entirely fictitious and do not contain descriptions or names of any real or identifiable persons whatsoever, living or dead.

8. Grant of Rights in Submission

By submitting any Submission, Entrant grants, conveys and assigns to GMCI and its affiliates all rights in and to the Submission, as a Work Made for Hire; if for any reason the Submission is ineligible to qualify as a Work Made for Hire under the United States Copyright Law, Entrant grants, conveys and assigns to GMCI and its affiliates, in perpetuity and throughout the universe, all rights of every kind and description in and to the Submission including the copyright therein and thereto and all rights under copyright, including the right to publish, exploit, disseminate the Submission in and by means of all media now existing or hereafter invented and for any purpose whatever including for advertising, purposes of trade and for the creation of derivative works, as well as the right to license and assign all such rights freely to others who may in turn further assign them, and including all ancillary rights necessary to fully exploit the foregoing. Entrants agree to indemnify and hold GMCI and any entities providing services and/or prizes in connection with the contest, and its and their affiliates and subsidiaries, and the officers, directors, employees, distributors and licensees of the foregoing harmless from and against any loss, cost or damage arising out of any claim, suit, demand, action, proceeding or litigation alleging facts which if proved true would constitute a violation of, or render false, any of Entrant's representations and warranties above. All Submissions become the property of GMCI; none will be returned.

9. Editing of Submission; Release of Claims

The editors of FriendFinder-x or Penthouse shall have the right to edit the winning Submission(s) for conformity to style as well as for content, editorial expression and legal concerns in their sole discretion. By entering, Entrant waives all rights to approve the final copy and releases GMCI from all claims or causes of action whatsoever in connection with the publication of the final version of the Submission, including but not limited to any right of droit moral, copyright infringement, defamation, commercial misappropriation of name or likeness or usage for advertising or purposes of trade, or "false light" invasion of privacy.

10. Winner's Release; Limitation of Liability.


Winner may be required to sign affidavits/declarations of eligibility, assignments of all rights in the Submission, proof of age and residence and such other proofs and documentation as GMCI may require, failing which GMCI may select alternate winners or not award one or more prizes. Winners agree that (except where prohibited) GMCI may use winner's name, picture, portrait, likeness and voice for advertising and promotional purposes without further compensation. GMCI and any entities providing services and/or prizes in connection with the contest shall have no liability and shall be held harmless by winners for any damage, loss or liability to person or property, due in whole or part, directly or indirectly, by reason of the acceptance or use of any prize or participation in this contest or any faults or defects thereof whether latent or apparent. GMCI is not liable for events of force majeure or other unforeseeable events making any prize impossible to award. GMCI reserves the right, in its sole discretion, to cancel or suspend part or all of this contest should virus, bugs, non-authorized human intervention or other causes beyond the control of GMCI corrupt, impair or affect the administration, security, fairness or proper functioning of the contest. GMCI and its promotion and advertising agencies are not responsible for technical, hardware, software or telephone failures of any kind, lost or unavailable network connections, fraud, incomplete, garbled or delayed computer transmissions or lost or misdelivered mail whether caused by GMCI, users or by any of the equipment or programming associated with or utilized in the promotion or by any technical or human error which may occur in the processing of Submissions which may damage a user's system or limit a participant's ability to participate in this contest. GMCI may prohibit an Entrant from participating in this contest or winning a prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of the contest by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or GMCI representatives.
CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, GMCI RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS' FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

11. Winners List/Rules

For the name of the winners or a copy of the Official Rules, send a stamped, self-addressed envelope for receipt by November 1, 2009 to General Media Communications, Inc., 20 Broad St., 14th Floor, New York, NY 10005.
